Terms of Use

Section 1 Scope of Application

These General Terms and Conditions (GTC) apply to all contracts, services, and offers provided by:
Concept Stand

(hereinafter referred to as "Concept Stand" or "we") to entrepreneurs within the meaning of Section 14 BGB (German Civil Code) and consumers within the meaning of Section 13 BGB (hereinafter referred to as the "Customer").

Deviating or supplementary terms and conditions of the Customer shall only become part of the contract if Concept Stand expressly agrees to their validity in writing.

Section 2 Subject of the Contract

Concept Stand offers creative and consulting services in the fields of exhibition stand design, event design, brand activation, concept development, and project coordination.

The specific services include, in particular:

Creative design and conception of exhibition stands
Visualization and 3D presentations
Consultation and project planning
Customer support and coordination

The specific services, timeframes, budgets, and deliverables are defined individually in the respective project contract, offer, or Statement of Work (SOW).

Important Note on Physical Construction:
The physical construction and assembly of the exhibition stands are NOT carried out by Concept Stand, but by qualified partner companies. The construction contract is concluded directly between the Customer and the execution partner. Concept Stand facilitates the contact and provides creative project management.

Section 3 Conclusion of Contract

A contract between Concept Stand and the Customer is established through:
a) Written or electronic confirmation of the offer by the Customer, or
b) Signing of an individual contract, or
c) Express written or electronic order confirmation by Concept Stand.

Verbal collateral agreements are only effective if confirmed in writing by Concept Stand.

Section 4 Prices and Payment Terms

4.1 Pricing Models:
Concept Stand offers two pricing models:
a) Pure Design Service: If only the design service is commissioned (without physical construction), the design fee specified in the offer will be charged.
b) Design + Execution (Full Package): If the physical construction is commissioned via our partner companies, the separate design fee is waived or deducted from the total price. In this case, the design service is already included in the price of the physical construction.

4.2 Unless otherwise agreed, the prices stated in the individual offer are final prices.

4.3 According to the small business status (Section 19 UStG), no VAT (Value Added Tax) is displayed or charged.

4.4 Invoices are payable within 14 days of the invoice date without deduction.

4.5 Concept Stand reserves the right to request partial or advance payments if provided for in the project contract.

4.6 In the event of late payment, statutory provisions apply (Section 288 BGB). We are entitled to charge default interest at a rate of 5 percentage points above the base interest rate.

Section 5 Provision of Services

5.1 Concept Stand provides its services to the best of its knowledge, creativity, and according to industry standards for exhibition and event design.

5.2 Cooperation takes place in close coordination with the Customer. The Customer undertakes to provide necessary information, briefings, materials, and approvals in a timely manner.

5.3 Delays due to late cooperation by the Customer will extend performance deadlines accordingly and may lead to additional costs.

5.4 Delivery deadlines are non-binding unless expressly agreed as binding.

Section 6 Copyright and Rights of Use

6.1 All concepts, drafts, texts, designs, visuals, presentations, and other materials created by Concept Stand are subject to copyright and remain the property of Concept Stand until full payment is received.

6.2 Upon full payment, the Customer receives a simple, non-exclusive right of use for the agreed purpose (realization of the exhibition stand).

6.3 Any transfer, modification, or use beyond the purpose of the contract requires the express written consent of Concept Stand.

6.4 Concept Stand is entitled to use the resulting projects and content for reference purposes (e.g., portfolio, website, social media), unless the Customer expressly objects.

Section 7 Liability

Concept Stand is only liable for damages caused by intentional or grossly negligent behavior. For slight negligence, Concept Stand is only liable in the event of a breach of essential contractual obligations (cardinal obligations) and limited to the typical, foreseeable damage. Liability for loss of profit or consequential damages is excluded. This limitation of liability does not apply to claims arising from product liability or injury to life, body, and health.
